1. Who we are, and what these terms cover
This website, highcool.com, is operated by Shanghai Chihuan New Material Technology Co., Ltd. (上海赤寰新材料科技有限公司), trading as HIGHCOOL ("HIGHCOOL", "we", "us", "our"). These Terms of Service govern your use of the site and any order you place through it. By browsing the site or placing an order you accept these terms. If you do not accept them, please do not use the site.
Additional terms may apply to specific offers, quotations or supply agreements. Where a signed supply agreement between us conflicts with these terms, the signed agreement prevails.
2. This is a trade store
HIGHCOOL sells on a business-to-business basis to installers, workshops, distributors, resellers and other trade buyers. Dealers, resellers and distributors are expressly welcome — supplying them is our core business. By ordering you confirm that you are buying in the course of a business, and that you are of legal age to form a binding contract in your jurisdiction.
Minimum order quantities, tiered pricing and volume terms may apply and are shown on the relevant product page or in the quotation we issue to you.
3. Accounts
You are responsible for keeping your account credentials confidential and for all activity under your account. Tell us promptly at contact@highcool.com if you believe your account has been compromised. We may refuse service, close accounts or cancel orders where we reasonably believe there has been fraud, misuse, or a breach of these terms.
4. Products, colours and tolerances
We work hard to describe our products accurately, but please note:
- Screen images cannot reproduce a film's true colour, gloss or texture. Order a sample before committing to a large or colour-critical job.
- Slight variation in colour, gloss and texture between production batches is normal for this class of product and is not a defect. For a single continuous job, order from one batch and tell us at the time of ordering if batch matching matters.
- Roll width, length and thickness are subject to the manufacturing tolerances stated on the product page.
- Product specifications, packaging and formulations may change as we improve them. We are not obliged to update descriptions of products already delivered.
Product availability is not guaranteed. We may limit quantities, discontinue a product, or restrict sale of a product to a particular territory where we have granted exclusivity or where import rules require it.
5. Prices and quotations
Prices are shown in the currency selected on the site and are exclusive of shipping, insurance, import duty, import VAT and any local taxes, unless expressly stated. Prices may change without notice. A written quotation from us is valid for the period stated on it, or 14 days if no period is stated.
We take reasonable care with pricing, but if a product is listed at an obviously incorrect price as a result of a typographical or system error, we may cancel the order and refund you in full rather than supply at that price. We will tell you before doing so.
6. Orders and acceptance
Your order is an offer to buy. A contract is formed only when we send you a dispatch confirmation, or otherwise expressly accept your order. Until then we may decline or reduce an order — for example where stock has run out, where we cannot verify the payment or the delivery address, where the destination is subject to export restrictions, or where the order appears fraudulent.
You agree to provide accurate, current and complete purchase and account information, including a valid contact email and a deliverable address, so that we can complete the transaction and reach you if there is a problem.
7. Payment
Payment is due in full before dispatch unless we have agreed credit terms with you in writing. We accept the payment methods shown at checkout; bank transfer terms are available for larger wholesale orders on request. You confirm that you are authorised to use the payment method you provide. Where we have agreed credit terms, overdue invoices may carry interest at 1 % per month or the maximum permitted by law, whichever is lower.
8. Shipping, delivery, title and risk
Delivery dates are estimates, not guarantees. We are not liable for delays caused by carriers, customs authorities, weather, or other events outside our reasonable control. Unless the quotation says otherwise, goods are supplied on the Incoterms® basis stated on your order confirmation; if none is stated, delivery is DAP to the address you gave us.
Risk of loss or damage passes to you in accordance with the applicable Incoterms® rule. Title to the goods remains with us until we have received payment in full.
9. Import, customs and compliance
Where goods cross a border, you are the importer of record unless we have agreed otherwise in writing. You are responsible for import duty, import VAT, customs clearance, and for ensuring the goods may lawfully be imported, sold and used in your country — including any local rules on window-film light transmittance (VLT), reflectivity and vehicle inspection. We supply the commercial invoice, packing list and HS codes needed for clearance. We cannot advise on, and accept no responsibility for, compliance with your local vehicle or building regulations.
You may not export or re-export our products in breach of any applicable sanctions or export-control law.
10. Inspection, returns and refunds
Please inspect every shipment on arrival. Returns are accepted by prior authorization only, and the return address is issued with the RMA number rather than published. Full details, including claim windows and what we can and cannot accept back, are in our Refund & Returns Policy, which forms part of these terms.
11. Warranty
We warrant that our products will, at the time of delivery, conform in all material respects to their published specification and be free from manufacturing defects. Where a product warranty period is stated on the product page, that period applies from the date of installation.
The warranty does not cover damage caused by improper storage, incorrect installation, unsuitable surface preparation, incompatible cleaning chemicals, abrasive washing, excessive heat, accident, vandalism or normal wear. Our liability under the warranty is limited, at our option, to replacing the affected film with film of equivalent specification, or refunding the price paid for it. It does not extend to installation labour, removal, downtime, vehicle hire, loss of profit or any other consequential cost.
12. Resale, brand use and marketing materials
We encourage resale. You may resell our products in the ordinary course of your business, and you may use the HIGHCOOL name, logo and product photography to promote the products you have bought from us, provided you do so accurately and do not present yourself as an authorised distributor, exclusive agent or branch of HIGHCOOL unless we have appointed you as one in writing. We may withdraw permission to use our brand assets if they are used misleadingly or in a way that damages the brand.
All content on this site — text, photographs, video, graphics, logos and site design — remains our property or that of our licensors and is protected by copyright and trade mark law. Beyond the permission given above, you may not copy, republish or use it for a competing catalogue.
13. Your content
If you send us reviews, photographs, installation shots, comments or other material, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and publish it in connection with our products and marketing, with attribution where practical. You confirm that the material is yours to give and does not infringe anyone else's rights or contain anything unlawful, defamatory or obscene. We are under no obligation to publish or keep any submission, and may remove material at our discretion. We do not treat submissions as confidential.
14. Prohibited uses
You may not use this site to break the law, to infringe intellectual property rights, to harass or mislead others, to upload malicious code, to scrape or harvest data, to interfere with the site's security features, or to gather information about other users without their consent. We may terminate your access for breach of this section.
15. Third-party links and tools
The site may link to, or make available, third-party materials and tools that we neither control nor examine. We provide them as-is and without warranty, and we are not liable for your use of them. Review the third party's own terms before you rely on them.
16. Accuracy of site information
We may from time to time have information on the site that contains an error or is out of date. We reserve the right to correct it and to update the site at any time, without an obligation to notify you. Where historical information is shown, it is provided for reference only and should not be relied on as current.
17. Disclaimer and limitation of liability
Except as expressly set out in section 11 and in our Refund & Returns Policy, and to the fullest extent permitted by law, the site and the products are provided without further warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose.
To the fullest extent permitted by law, our total liability arising out of or in connection with any order is limited to the price you paid for the goods giving rise to the claim. We are not liable for loss of profit, loss of business, loss of contracts, installation or removal labour, vehicle downtime, or any indirect or consequential loss.
Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot lawfully be excluded. If you deal with us as a consumer, your statutory rights are not affected.
18. Indemnity
You agree to indemnify and hold harmless HIGHCOOL, its officers, employees and suppliers against any claim or demand, including reasonable legal fees, arising from your breach of these terms or from your infringement of the rights of a third party.
19. Force majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, labour dispute, port or customs closure, carrier failure, power or network outage, or government action. Where such an event continues for more than 60 days, either party may cancel the affected order and we will refund any sums paid for goods not delivered.
20. Governing law and disputes
These terms and any dispute arising from them are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. The parties will first attempt to resolve any dispute by good-faith negotiation. Failing that, the dispute shall be submitted to the competent courts of Shanghai, People's Republic of China. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you deal with us as a consumer, this section does not deprive you of the protection of the mandatory law of your country of residence.
21. Severability, waiver and entire agreement
If any provision of these terms is found unenforceable, it is severed to the minimum extent necessary and the remaining provisions continue in force. Our failure to enforce a provision is not a waiver of it. These terms, together with the policies published on this site, are the entire agreement between us regarding your use of the site, and supersede any prior communication.
22. Changes to these terms
We may update these terms at any time by posting a revised version on this page. The "last updated" date at the top shows when we last did so. Changes take effect when posted and apply to orders placed after that date. Please review this page periodically.
